As a global business that never stands still, Dell and Boomi must stay on top of diverse legal business matters day in, day out. The lawyers in our Legal team bring a wealth of expertise with experience spanning, commercial transactions, intellectual property, corporate transactional, securities, employment, immigration, litigation, compliance and regulatory matters. We rely on them to manage legal business, advise on legal issues and actions, review legal data and coordinate external counsel.
The new Contracts Counsel will join a team within Dell that handles legal support for Boomi. Dell’s Boomi subsidiary is a global leader in providing integration technology and services, to allow companies to let different computers and clouds talk to each other real time. We sign hundreds of new sales agreements per year – so speed, and good judgment, good communication skills, and experience with software licensing and cloud technologies are very important. Having an open mindset, driving for results with optimism and understanding that teams win together will assist with success in the role. Fun, humour, and being adept at working with people from different cultures (EMEA and US) are key, too.Duties:
Serving as the primary Legal point for deals, and managing internal positions on operational and risk issues presented in the contracts
Drafting, revising and negotiating both direct and channel partner sales agreements for various topics typically found in IT contracts (including data protection); reviewing statements of work, non-disclosure agreements, and various other agreements as needed
Collaborating with Sales, Operations, Finance, Legal, Tax, Insurance, Privacy, and IT Security groups to ensure that agreements meet Company policies and protect the Company’s interests
Recognizing risk elements in business transactions and solving problems in a team environment
Conveying complex and legally complicated information in a concise and professional manner
Proactively resolving outstanding issues with external Clients, while operating within a governance framework and utilizing strong interpersonal and persuasive skills in negotiations
Training Sales and internal stakeholders on key Boomi contracting principles so that Sales can set expectations with customers during the Sales process and shorten negotiation cycles, and
Strong history of successful negotiations with customers and building relationships. Above all, we want to get smart deals done quickly, while spotting issues and finding ways to push back on requests that are not standard for the market or not smart risks for the company.Excellent commercial drafting, negotiation and influencing skills
Significant knowledge of the information technology industry and of related commercial contracts terms
Fluency in English language as it is the working language within Dell and Boomi.
Positive and proactive attitude, approachable, with a strong work ethic.
Excellent time management skills and the ability to work autonomously, adapt to changing circumstances and deliver according to strict deadlines. This role has the opportunity to collaborate with the other Boomi counsel, who are primarily outside of the EMEA region; and to gather expertise from professionals in Dell Legal in EMEA; this is a role for someone who wants to make a big difference and impact on the fast-growing Boomi EMEA business
Legal qualification at degree level/ professional qualification in an EMEA country
Ability to multi-task, work efficiently in a high-energy environment, collaborating effectively with management as both an advisor and business leader
Fluency in other European languages is desirable - German, French, Spanish or Italian.
Experience in negotiating software licenses and SaaS agreements preferred
The successful applicant needs to support European business hours with flexibility for coordination with US based colleagues
