General Summary:

Dell’s M&A legal team is responsible for all mergers & acquisitions, as well as venture capital activity. As Senior Legal Counsel, this individual will collaborate with business leaders, in-house legal subject matter experts, corporate business functions and outside counsel to lead M&A transactions.

We are looking for someone whose experience has been primarily focused on M&A deals. This individual needs to have a high degree of risk tolerance and the ability to see the big picture. The ideal candidate will be a self-starter and be able to effectively interact with a fair but demanding client base.

Principal Duties and Responsibilities:

  • Leads strategic and transformational corporate M&A transactions

  • Manages the transaction process; drafts and negotiates various transaction-related documents

  • Provides leadership to cross-functional groups in connection with deal execution

  • Provides legal advice on a broad range of general corporate matters, as needed

  • Manages outside counsel

  • Reports directly to the lead lawyer of the M&A legal team

Qualifications:

  • JD degree with admission to at least one state bar

  • 8+ years experience doing corporate transactions in a law firm and/or in-house legal environment

  • Direct experience leading M&A transactions

  • Excellent organizational and planning skills, with the ability to handle multiple projects simultaneously

  • Requires the ability to recognize, understand and address client needs and an ability to prioritize, organize and provide services to clients with deadlines

  • Ability to work collaboratively and effectively with business clients and other members of the legal department

  • Excellent communication skills

  • Ability to creatively and strategically support key business objectives

  • This position requires good judgment, integrity, high energy, and demonstrated understanding of general business values and ethics
